This Privacy Policy ("Policy") describes how Alpha Design AI, Inc. ("we," "us," or "our") collects, uses, and shares your information in connection with the use of ChipAgents ("App" or "Service").
This Privacy Policy does not apply to information that we process on behalf of our business customers (such as businesses and other organizations) while providing the App to them. Our use of information that we process on behalf of our business customers may be governed by our agreements with such customers. If you have concerns regarding your personal information that we process on behalf of a business customer, please direct your concerns to that enterprise customer. Our websites, products and services are designed for enterprise customers and their representatives. We do not offer products or services for use by individuals for their personal, family or household purposes. Accordingly, we treat all personal information we collect as pertaining to individuals in their capacities as representatives of the relevant enterprise and not their individual capacities.
1. Information We Collect
We collect information that you provide directly to us, information generated through your use of the App, and information obtained from third-party sources. The categories of information we collect include:
1.1 Personal Information
- Account Information, such as name, email address, job title, company name, and any other information you provide when creating an account.
- Communication Information, such as information you provide when you communicate with us.
- Device Information, such as IP address, browser type, operating system, time zone, and device identifiers.
- Activity Data, such as logs of prompts, commands, editor actions, and edits made using the App.
- Performance Metrics, such as data about system performance, usage trends, and errors for debugging and analytics.
- Other Information not specifically listed here, which we will use as described in this Privacy Policy or as otherwise disclosed at the time of collection.
1.2 Codebase Information
In addition, if you choose to integrate your codebase with the App, we may collect the following information:
- Codebase or Snippets: Codebase or code snippets you upload.
We may combine personal information we receive from you with personal information from other sources, such as third-party services that you use to log into the App.
2. How We Use Your Personal Information
We may use the personal information we collect to:
- Provide, operate, and improve the Service.
- Process transactions and fulfill requests.
- Personalize the Service.
- Analyze your usage of the Service and enhance user experience, including through analytics, debugging, and feature development.
- Communicate with you about the Service, such as updates, features, and customer support.

We may use this aggregated, de-identified or anonymized data and share it with third parties for our lawful business purposes, including to analyze and improve the Service, promote our business, train our AI models, and for other machine learning purposes.
3. Sharing Your Personal Information
We may share your personal information with the following parties (or as otherwise described in this Privacy Policy, in applicable notices, or at the time of collection):
- Service Providers: With third-party vendors, such as for hosting, analytics, authentication, and AI inference.
- Linked third-party services. If you log into the App with a third-party service, we may share your personal information with that third-party service. The third party's use of the shared information will be governed by its privacy policy.
- Business Transferees: In the event of an actual or prospective business transaction, such as a merger, acquisition, or sale of assets.
- Authorities and others: Law enforcement, government authorities, and private parties, as we believe necessary or appropriate to comply with legal requirements, respond to subpoenas, or protect our rights.
- Professional advisors: Professional advisors, such as lawyers, auditors, bankers and insurers, where necessary in the course of the professional services that they render to us.
4. Data Security
We have implemented technical, organizational and physical measures designed to protect your personal information from unauthorized access, disclosure, alteration, and destruction. However, no security measures are infallible, and we cannot guarantee the security of your personal information.
5. Data Retention
We generally retain your personal information for as long as necessary to fulfill the purposes for which we collected it, including to provide the Service, fulfill contractual obligations, comply with legal requirements, resolve disputes, or enforce agreements. 6. Your Choices
- Access or update your information. If you have registered for an account with us through the Service, you may review and update certain account information by logging into the account

7. Cookies and Tracking Technologies
We use first-party analytics and essential cookies to enable features of the App and analyze usage patterns. We use:
- Essential Cookies: Required for the App to function properly, including authentication and security features.
- Analytics: We use Vercel Analytics, a privacy-friendly first-party analytics service that does not use cookies or track users across sites.
- Spam Prevention: We use Botpoison for spam prevention on form submissions.
We do not use third-party advertising cookies or tracking pixels. You can adjust your browser settings to manage cookies, but doing so may limit your use of certain features.
8. Cross-Border Data Transfers
Your data may be processed and stored on servers in the United States or other countries. Your personal information may be transferred to the United States or other countries outside your home jurisdiction, which may have different and less protective data protection laws than your home jurisdiction.
9. Updates to This Policy
We may update this Policy from time to time to reflect changes in our practices or applicable laws. Material changes will be communicated through the App or by other means. Your continued use of the Service after an updated Policy becomes effective indicates your acceptance of the revised terms.
10. Children
The Service is not intended for use by anyone under 18 years of age. If you are a parent or guardian of a child from whom you believe we have collected personal information in a manner prohibited by law, please contact us. If we learn that we have collected personal information through the Service from a child without the consent of the child's parent or guardian as required by law, we will comply with applicable legal requirements to delete the information.

12.7 How to Exercise Your Rights

12.8 Identity Verification
To protect your privacy and security, we verify your identity before processing privacy requests. Our verification process includes:
- Matching the information you provide in your request with the information we have in our records
- Requesting additional information if needed to reasonably verify your identity
- Using different levels of verification depending on the sensitivity of the personal information requested
We cannot fulfill your request if we cannot reasonably verify your identity or authority to make the request. Making a verifiable consumer request does not require you to create an account with us.
12.9 Authorized Agents
You may designate an authorized agent to submit requests on your behalf. For us to process a request from an authorized agent:
- The agent must provide proof of authorization (e.g., a signed permission letter or power of attorney)
- We may require you to verify your identity directly with us
- We may require you to confirm with us that you authorized the agent to submit the request
12.10 Response Timeline
We will respond to verified requests within 45 days of receipt. If we need more time (up to an additional 45 days), we will notify you of the extension and the reason for it. We will deliver our written response electronically to the email address you provide in your request.
12.11 Appeal Process
If we deny your privacy request, in whole or in part, you have the right to appeal our decision:

- Include your original request details and the reason you believe the denial was incorrect
- We will review your appeal and respond within 45 days
